Terms of Service

These terms govern your use of Aunshin Books. By using the service you agree to them. Please read them with your Privacy Policy.

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and Joruva Industrial LLC (doing business as Aunshin), Scottsdale, Arizona ("Aunshin," "we," "us"), governing access to and use of the Aunshin Books platform and related services (the "Service"). If you use the Service on behalf of a firm or organization, you represent that you are authorized to bind it, and "you" includes that organization.

2. The Service

Aunshin Books is a multi-tenant accounting platform for outsourced accounting and bookkeeping firms, providing multi-entity bookkeeping, consolidation, reporting, bank-feed ingestion, and AI-assisted (human-reviewed) accounting tools. The Service is in active development; features may change, and specific commercial terms (plans, fees, support) are set out in a separate order or agreement with your firm.

3. Accounts & eligibility

The Service is for business use by professionals and firms; it is not intended for consumers or anyone under 16. You access the Service by signing in with a supported work identity provider (Microsoft or Google). You are responsible for your account, for access granted to your team, and for maintaining the security of your identity provider.

5. Acceptable use

You will not misuse the Service, including by: attempting to access data you are not authorized for; probing, scanning, or breaching security; reverse engineering except as permitted by law; interfering with the Service's operation; uploading malware; or using the Service to violate law or the rights of others.

6. Third-party services

The Service integrates third-party providers — including financial-data providers (Plaid, Teller), identity providers (Microsoft, Google), and AI providers (Anthropic). Your use of those connections is also subject to the third party's terms, and we are not responsible for third-party services. Connecting a financial account is done through the provider's own secure flow.

7. Intellectual property

The Service, including its software, design, and content, is owned by Aunshin and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms. You retain all rights in the data you submit ("Customer Data"); you grant us the limited rights needed to host and process it to provide the Service.

8. Confidentiality & data protection

Each party will protect the other's confidential information. Our handling of personal and financial data is described in the Privacy Policy, which is incorporated into these Terms. For Customer Data, the firm is the controller and Aunshin acts as processor under the firm's instructions.

9. Fees

Fees, billing terms, and plan details are as agreed in a separate order or subscription agreement with your firm. Unless otherwise stated there, fees are non-refundable and exclusive of taxes.

10. Disclaimers

The Service assists with accounting work; it does not provide accounting, tax, legal, or financial advice, and AI suggestions are aids that require human review and professional judgment. Except as expressly stated, the Service is provided "as is" and "as available," and to the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data, arising from these Terms or the Service. Our total liability for any claim will not exceed the amounts paid by your firm for the Service in the twelve months before the claim.

12. Indemnification

You will defend and indemnify Aunshin against third-party claims arising from your Customer Data, your use of the Service in violation of these Terms or law, or your infringement of a third party's rights.

13. Term & termination

These Terms apply while you use the Service. Either party may terminate as set out in the applicable order, or we may suspend or terminate access for a material breach or to protect the Service or others. On termination, your right to use the Service ends; we will make Customer Data available for export for a reasonable period, then delete it consistent with the Privacy Policy and law.

14. Governing law

These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict-of-laws rules. The state and federal courts located in Maricopa County, Arizona have exclusive jurisdiction, and the parties consent to that venue.

15. Changes

We may update these Terms as the Service evolves. We will revise the "last updated" date and, for material changes, provide additional notice. Continued use after an update means you accept the revised Terms.
